Terms of Service

1. Introduction and Agreement Formation
This Terms of Service Agreement ("Agreement") is entered into by and between Official Unofficial, Inc. ("Company," "we," "us," or "our") and any individual or entity accessing or using our website, application, or services (collectively, the "Services"). PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using the Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree to these terms, you must immediately cease using the Services.
2. Community Standards
Users must adhere to our Community Standards, which prohibit:
- Harassment or abuse of other users
- Hate speech
- Illegal content
- Incitement to violence
- Spam
- Misleading impersonation or deceptive practices
- Intellectual property violations
3. Service Access and Account Management
3.1 Eligibility
You represent and warrant that:
- You are at least 18 years of age
- You possess the legal capacity to enter into this Agreement
- If acting on behalf of an entity, you have the authority to bind such entity
3.2 Account Security
You are solely responsible for:
- Maintaining account confidentiality
- All activities occurring under your account
- Immediately notifying us of any unauthorized access
4. Intellectual Property Rights
4.1 Company Property
All Services content, including but not limited to software, designs, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and all other intellectual property rights are owned or licensed by the Company.
4.2 License Grant for Social Network Content
You retain all ownership rights to any content you submit through our Services, unless you explicitly elect to transfer such rights. By submitting content through our Services, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, display, and perform your content.
This license is necessary to enable core social networking features, including but not limited to: sharing your posts with your followers, allowing other users to reshare your content, displaying your content in feeds and search results, and creating previews of your content for recommendations.
Without this license, we would be unable to operate the social networking features of our platform or make your content available to other users as intended.
5. Prohibited Activities
Users shall not:
- Violate any applicable laws or regulations
- Interfere with Service functionality or security
- Access unauthorized areas of the Services
- Transmit malicious code or content
- Engage in unauthorized data collection
- Impersonate any person or entity
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7. Limitation of Liability
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Services
- Any unauthorized access to or use of our servers
- Any interruption or cessation of transmission to or from the Services
- Any bugs, viruses, or other harmful code transmitted through the Services
8. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and licensors from any claims, damages, expenses, or losses arising from your use of the Services or violation of this Agreement.
9. Dispute Resolution
9.1 Arbitration Agreement
All disputes arising from or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
9.2 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.
10. Modifications to Agreement
The Company reserves the right to modify this Agreement at any time. Changes become effective upon posting to the Services. Continued use of the Services constitutes acceptance of modifications.
11. Governing Law and Jurisdiction
11.1 Choice of Law
This Agreement and any dispute or claim arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
11.2 Jurisdiction
Subject to the Arbitration Agreement in Section 9, you agree that any legal action, suit, or proceeding arising out of or relating to this Agreement must be brought exclusively in the federal or state courts located in Delaware. You hereby accept and submit to the personal and exclusive jurisdiction of these courts for any such action, suit, or proceeding.
11.3 Injunctive Relief
Notwithstanding the Arbitration Agreement in Section 9, nothing in this Agreement shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Services.
11.4 International Users
The Services are controlled and operated from the United States. If you access or use the Services from other territories, you do so at your own risk and are responsible for compliance with applicable local laws. You acknowledge that the Services may be subject to U.S. and international export control laws and agree to comply with all such applicable laws and regulations.
11.5 Government Users
If you are a U.S. government user, this Agreement is governed by the federal laws of the United States of America. If you are a state government user, this Agreement will be governed by the laws of your state.
12. Severability
If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck while the remaining provisions remain in full force and effect.
13. Privacy and Data Security
Your use of our Services is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. The Privacy Policy explains how we collect, use, and protect your personal information, including how we handle notification data through services like OneSignal. By using the Services, you consent to the data practices described in the Privacy Policy and the collection and processing of notification-related data by our third-party service providers.
14. Export Control Compliance
The Services are subject to U.S. export control laws and regulations. You agree to comply with all applicable export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You warrant that you are not located in any U.S. embargoed countries or on any U.S. government restricted parties lists.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, changes in laws or regulations, labor disputes, and failures of internet service providers or hosting facilities.
16. Electronic Communications
By using the Services, you consent to receive electronic communications from us. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
17. Third-Party Services
17.1 Google Maps Platform
Our Services incorporate Google Maps Platform features and content. By using our Services, you acknowledge and agree to be bound by Google's then-current (1) Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps/ and (2) Google Privacy Policy at https://www.google.com/policies/privacy/.
17.2 OneSignal Services
Our Services utilize OneSignal for notification delivery. By using our Services, you agree to:
- Receive notifications in accordance with your device settings and preferences
- The collection and processing of data as described in OneSignal's Privacy Policy
- OneSignal's Terms of Service
Your use of our notification services is subject to OneSignal's terms and policies, which may be updated from time to time. You can control notification preferences through your device settings.
18. Publicity and Marketing
18.1 Use of Name and Logo
By using the Services, you grant Official Unofficial, Inc. a non-exclusive, worldwide, royalty-free license to use your name, trademarks, service marks, logos, trade names, and other branding elements ("Brand Assets") for marketing and promotional purposes, including but not limited to:
- Identification as a user of our Services
- Inclusion in our customer lists
- Display on our website and marketing materials
- Reference in press releases and public communications
18.2 Case Studies and Testimonials
We may request your participation in promotional activities such as:
- Customer case studies
- Testimonials or customer quotes
- Joint marketing initiatives
- Social media engagement
Any such participation will be subject to mutual agreement on the specific content and scope of the promotional materials.
18.3 Content Review
You shall have the right to review and approve any public-facing materials that include your Brand Assets or attributable quotes prior to publication, provided that such approval shall not be unreasonably withheld or delayed.
18.4 Revocation
You may revoke this publicity authorization by submitting a written request to contact@unofficial.run, although we reserve the right to retain previously published materials and references.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
